TERMS AND CONDITIONS

These Terms and Conditions (“Terms”) govern access to and use of the Frey website, platform and any related applications (collectively, the “Platform”).

By accessing the Platform or using any services made available through it, you agree to be bound by these Terms. If you do not agree, you must not use the Platform.

1. Introduction and Contracting Party

The services marketed under the name “Frey” are provided under a white-label arrangement. “Frey” is a service name and brand only and does not constitute a separate legal entity.

The Platform is operated by, and the contracting party for all services provided under these Terms is:

Van Der Stel Holdings Ltd, a company incorporated in the British Virgin Islands.

Throughout these Terms, references to “Frey” refer to Van Der Stel Holdings Ltd acting under the Frey brand.

2. Scope of Services

Frey provides administrative, onboarding, coordination, and non-investment marketing and informational services in relation to international trust structures.

The Services are limited to facilitating access to trust-related structures and associated administrative processes.

Frey does not:

  • act as trustee, co-trustee, administrator, protector, fiduciary or beneficiary;
  • provide legal, tax, financial or investment advice;
  • manage, recommend, arrange or promote investments;
  • accept deposits or hold client funds;
  • exercise discretion over trust assets or investments.

All trusts are governed exclusively by their respective trust deeds and are administered by appointed third-party trustees.

3. Subscription Fees and Payment

Clients subscribe to Frey’s Services for a fixed monthly fee.

Subscription fees are payable irrespective of:

  • whether a trust is funded;
  • whether investments are made;
  • investment performance or outcomes.

All fees are fees for services rendered and do not constitute investment consideration, capital contributions, deposits or custodial arrangements.

Failure to pay fees may result in suspension or termination of access to the Services.

4. Trust Funding and Investments

Frey does not market, arrange or advise on investments.

Any transfer of funds into a trust, or from a trust into investment vehicles, occurs solely pursuant to the relevant trust deed, trustee resolutions, and agreements entered into by the trustee with third-party providers.

Frey bears no responsibility for:

  • investment selection or performance;
  • losses suffered by a trust or beneficiary; or
  • actions or omissions of trustees, investment managers, banks or counterparties.

5. No Advice

Nothing on the Frey website or Platform constitutes legal, tax, financial or investment advice.

Clients are responsible for obtaining independent professional advice appropriate to their circumstances before establishing a trust or transferring assets.

6. Regulatory Position

Frey is not a licensed or regulated financial services provider and does not provide regulated financial services.

Nothing in these Terms creates any fiduciary, trustee, administrator, advisory, agency or similar relationship between Frey and any Client.

7. Intellectual Property

All intellectual property rights in the Frey brand, Platform, website, content, materials and documentation are owned by or licensed to Van Der Stel Holdings Ltd .

Clients may not copy, reproduce, distribute, modify, publish, exploit or otherwise use any content or materials without prior written consent.

8. Third-Party Services and Links

The Platform may reference or link to third-party services or websites.

Frey does not control and is not responsible for the content, performance or availability of any third-party services.

9. Limitation of Liability

To the maximum extent permitted by law, Frey’s total liability arising from or in connection with the Platform or Services is limited to the total fees paid by the Client in the twelve (12) months preceding the claim, or zero if no fees were paid.

Frey shall not be liable for indirect, consequential, economic or special losses.

10. Indemnity

Clients agree to indemnify and hold Frey harmless from any claims, losses or liabilities arising from misuse of the Platform, breach of these Terms, or reliance on information obtained through the Platform.

11. Termination

Frey may suspend or terminate access to the Platform or Services at its discretion, including for non-payment, misuse or breach of these Terms.

Termination does not affect accrued rights or obligations.

12. Governing Law and Jurisdiction

These Terms are governed by the laws of the British Virgin Islands.

Trust matters, fiduciary duties and the administration of any trust or sub-trust are governed exclusively by the applicable trust deed and its governing law.
